1. Agreement to Terms
By accessing or using iktiarshovo.com (“Website”) and any services offered by Iktiar Shovo (“we,” “us,” or “Service Provider”), you (“Client,” “you,” or “User”) agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of the Website immediately.
These terms apply to all visitors, users, clients, and anyone who accesses or uses our Website and services, including the θ (Theta) AI assistant.
2. Services Offered
Iktiar Shovo provides the following digital services:
- Custom AI Agents & Lead Mining: Specialized AI agents for lead generation and business automation.
- Android Business Applications: Native Android apps for clinic management, internal tools, and business operations.
- Offline-Ready POS Systems: Point of Sale applications with automated invoice generation.
- Growth Dashboards: Performance tracking and analytics dashboards.
- Landing Pages & Logo Design: High-converting pages with professional branding.
- AI Chatbot SaaS (θ Theta): Yearly subscription plans for AI-powered business chatbot integration.
- Custom Development: Tailored software solutions based on specific client requirements.
⚙️ 3. Custom Software Development Terms
- Scope of Work: All custom development projects will be defined by a mutually agreed-upon scope document before work begins. Any changes to the agreed scope may result in additional charges and timeline adjustments.
- Project Timeline: Estimated delivery timelines are provided in good faith. Actual delivery dates may vary depending on project complexity, client responsiveness (providing assets, feedback, access credentials), and unforeseen technical requirements.
- Client Responsibilities: The client is responsible for providing accurate project requirements, content (text, images, brand assets), domain names, hosting access, and timely feedback during the development process.
- Revisions: Each project includes a reasonable number of revision rounds as defined in the project agreement. Additional revisions beyond the agreed scope will be billed separately.
- Source Code Ownership: Upon full payment, the client receives full ownership of the custom-built source code, excluding any proprietary libraries, AI models, or third-party components that remain under their respective licenses.
- Maintenance & Support: Post-delivery maintenance and support are not included unless explicitly stated in the project agreement or covered by a separate maintenance contract.
- Portfolio Rights: Iktiar Shovo reserves the right to showcase completed projects in the portfolio section of iktiarshovo.com, unless the client explicitly requests otherwise in writing.
🤖 4. AI Chatbot SaaS — Subscription & API Usage Terms
4.1 Subscription Plans & Pricing
- Starter Plan ($199/year): Website integration, Smart FAQ chatbot, lead capture (Name/Email/Phone), Telegram alerts, 200 chat interactions per month.
- Growth Plan ($399/year): Everything in Starter + Custom AI persona, WhatsApp Business integration, multi-page knowledge base sync, 1,000 chat interactions per month, monthly performance report.
- Premium Omni Plan ($799/year): Everything in Growth + Unlimited chat API (Fair Use), lead reactivation & follow-ups, call & SMS routing, custom CRM integrations, 24/7 priority maintenance, dedicated bot manager.
4.2 API Usage Limits & Fair Use Policy
- Chat Limits: Each plan includes a specified number of AI-powered chat interactions per month. The Starter plan includes 200 chats/month, Growth includes 1,000 chats/month, and Premium Omni includes unlimited chats under our Fair Use Policy.
- Fair Use Policy (Premium Omni): “Unlimited” chats are subject to fair and reasonable use. This means the chatbot is intended for genuine business inquiries from real users. Automated, scripted, or abusive use (e.g., bot-to-bot traffic, stress testing, DDoS-style requests) is strictly prohibited and may result in service suspension.
- Overage: If a Starter or Growth plan exceeds its monthly chat limit, the chatbot will display a polite “contact us directly” fallback message until the next billing cycle. No additional charges will be applied without prior written agreement.
- API Rate Limiting: To ensure system stability for all clients, API requests are rate-limited. Excessive requests from a single source may be temporarily throttled.
4.3 Payment Terms for Yearly SaaS Subscriptions
- Billing Cycle: All chatbot SaaS plans are billed annually (once per year) from the date of activation.
- Payment Methods: We accept payment via bank transfer, mobile banking (bKash, Nagad for Bangladesh), Wise, PayPal, or crypto (USDT/USDC) as agreed upon before service activation.
- Setup Fee: Initial setup and AI persona training is included in the first year's subscription fee. No hidden charges.
- Renewal: Subscriptions renew automatically unless the client provides written cancellation notice at least 14 days before the renewal date.
- Refund Policy: We offer a 14-day money-back guarantee from the date of initial activation. After 14 days, refunds are prorated based on the remaining subscription period. No refunds are issued for renewals after the 14-day renewal grace period.
- Late Payment: If payment is not received within 7 days of the billing date, the chatbot service may be temporarily suspended until the account is settled.
- Price Changes: We reserve the right to adjust pricing for future billing cycles. Existing clients will receive at least 30 days' written notice before any price increase takes effect.
5. Intellectual Property
- Website Content: All content on iktiarshovo.com, including text, graphics, logos, icons, and the θ (Theta) AI system, is the intellectual property of Iktiar Shovo and is protected under international copyright laws.
- θ (Theta) AI System: The θ (Theta) AI assistant, its system prompts, security architecture, and underlying logic are proprietary. Reverse engineering, copying, or attempting to extract the AI's training data or system instructions is strictly prohibited.
- Client Projects: Upon full payment, clients receive ownership of their custom-built deliverables as specified in Section 3. Iktiar Shovo retains the right to use generalized techniques and knowledge gained during the project.
6. Limitation of Liability
- AI Responses: θ (Theta) AI provides information based on pre-configured business data. While we strive for accuracy, AI-generated responses should not be considered professional legal, financial, or medical advice.
- Service Availability: We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance, third-party API outages (Groq, Gemini, Telegram), or force majeure events may temporarily affect service availability.
- Maximum Liability: Our total liability for any claim arising from our services shall not exceed the amount paid by the client in the 12 months preceding the claim.
7. Acceptable Use Policy
You agree NOT to:
- Use our Website or θ (Theta) AI for any unlawful purpose or to solicit illegal activities.
- Attempt to perform prompt injection, system override, or role manipulation attacks on θ (Theta).
- Send automated, scripted, or bot-generated traffic to our AI chat endpoints.
- Impersonate another person or entity in communications with our AI or team.
- Attempt to reverse engineer, decompile, or extract source code from our Website or AI system.
- Overload, flood, or disrupt the normal functioning of the Website through excessive requests.
8. Termination
We reserve the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination:
- All chatbot services will be deactivated for the terminated client.
- Client data will be retained for 30 days post-termination for data export purposes, then permanently deleted.
- No refund will be issued for termination due to Terms violation.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the jurisdiction of the courts in Chittagong, Bangladesh.
For international clients, we also support resolution through mutually agreed-upon online arbitration platforms.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active clients and updated on this page. Continued use of our services after changes constitute acceptance of the updated Terms.
